Heather Devine
Chief Legal Officer, TRAFFIX

Heather Devine is the Chief Legal Officer at TRAFFIX, a $1.05B North American 3PL, and is a member of the company’s executive management team.  In her new role as CLO, Heather oversees legal and risk management, leads the company on a broad range of litigation and regulatory matters, and provides strategic counsel to senior leaders in all TRAFFIX’ business units globally.  Heather is the Corporate Secretary to the Board of Directors, and the Audit and Compensation Committees – both of which were newly formed during her tutelage.

Called to the Bar of Ontario and Nova Scotia in 1997 & 1998, Heather practiced as an equity partner at Gowling WLG for many years, and then founded the Toronto offices for Alexander Holburn and grew that office from 2 to 14 during the Pandemic from August 2019 to September 2022, when Heather moved in-house.  The office continues successfully to date.

In her role as CLO, Heather has overseen the amalgamation and restructuring of TRAFFIX which involved a creative solution cross-border to change TRAFFIX named company in its operating authorities without any loss of revenue. She has advised on D&O insurance competition and anti-trust issues, implemented protection regarding potential “Nuclear Verdicts’, managed international litigation, implemented appropriate Board reporting structures and minuting processes suitable for foreign and domestic investors and lenders, and devised new risk management legal structures for new areas of business including managed transportation (where each contract is valued at +$50m), warehousing and property management, and structured TRAFFIX’ role as a materials supplier with lien rights in construction projects in several states. 

An active member of the International Association of Defense Counsel, Heather is the Chair of the IADC Transportation Committee, and CLE Chair for the IADC Annual Meeting 2023 (Hawaii). She was the Co-Chair of TLA-Air, and incoming Vice Chair for the Corporate Counsel Committee for the Transportation Lawyers Association, and a Past President of the Canadian Transport Lawyers Association. She is a frequent writer in The Transportation Lawyer, Private Motor Carrier Magazine, and has presented at the TIA annual meeting, the PMTC Annual meeting, and others.

When in private practice, Heather was recognized repeatedly by Best Lawyers and L’Expert, is the recipient of the 2022 Joan Fullam Irick Award by the IADC, and has also received the TLA Distinguished Services Award in 2020.
